Terms of service

Last updated

These terms are an agreement between WentBack ("we", "us") and the business that signs up for WentBack ("you"). They apply to our dashboard at app.helpsay.com, the messages it sends and everything else we provide (together, "the service"). By creating an account or using the service, you agree to these terms, our Messaging policy and our Privacy policy.

If you sign up on behalf of a business, you confirm that you're an adult and are allowed to agree to these terms for that business.

1. The service

WentBack lets you send reminders, invitations, updates and other messages to your customers by text, WhatsApp, email, phone call and mail, manage replies, take bookings and see results. Features depend on your plan, as described on our pricing page. We may improve, change or retire features over time; if we remove something important from your plan, we'll tell you in advance.

2. Your account

Keep your sign-in details safe and give accurate information about your business. You're responsible for everything done through your account, including by people you invite to your team. Tell us straight away at [email protected] if you think your account has been used without permission.

3. Free trial

New accounts start with a 14-day free trial with no credit card needed. Trial accounts may have limits, such as on credits or channels. At the end of the trial you'll need to choose a paid plan to keep sending messages.

4. Plans, fees and billing

  • Plan prices, setup fees, credits and add-on prices are shown on our pricing page and in your dashboard. Canadian businesses are billed in Canadian dollars and US businesses in US dollars. Prices don't include applicable taxes, which we add where required.
  • Subscriptions are billed in advance, monthly or yearly, and renew automatically until cancelled. Setup fees are charged once.
  • Credits are used to send messages as described on the pricing page. Credits have no cash value, can't be transferred and are only for use with WentBack. Fees passed through from carriers and other providers, such as carrier registration fees, are charged at cost.
  • We may change our prices. We'll give you at least 30 days' notice before a price change applies to you, and it will take effect from your next billing period. Founding prices promised to you will be honoured as described when you signed up.
  • If a payment fails, we may pause sending until it's resolved.

5. Cancelling and refunds

You can cancel a monthly plan at any time; it stays active until the end of the period you've paid for. Yearly plans run until the end of the year you've paid for. Except where a guarantee or offer on our pricing page says otherwise, or the law requires it, fees already paid aren't refundable, including for unused credits or time. Any guarantee or promotion applies only on the terms stated with it.

6. Messaging your customers

You are the sender of the messages you send through WentBack, and you're responsible for them. In particular, you agree to:

  • Only message people who have given you the consent the law requires for that kind of message and channel, and keep a record of it.
  • Follow the laws that apply to your messages, including Canada's Anti-Spam Legislation (CASL), the Personal Information Protection and Electronic Documents Act (PIPEDA) and provincial privacy laws, the US Telephone Consumer Protection Act (TCPA) and CAN-SPAM Act, and the rules of carriers and platforms such as WhatsApp.
  • Follow our Messaging policy, including its list of content we don't allow.
  • Make sure what you send is accurate and not misleading.

We help with this: WentBack records consent, honours opt-outs automatically and respects quiet hours. But we can't know what each of your customers agreed to, so the responsibility for having consent stays with you.

7. Your data

You own the information you add to WentBack, including your customer lists and message content ("your data"). You give us permission to store, process and send your data only as needed to provide and improve the service, to keep it secure and as described in our Privacy policy. We won't sell your data or use your customer lists for our own marketing. You can ask us for an export of your customer list at any time, and when you close your account we'll delete your data as described in our Privacy policy.

8. Acceptable use

You agree not to use WentBack to break the law or anyone's rights; send spam or messages to purchased, rented or scraped lists; send anything our Messaging policy prohibits; try to get around opt-outs, quiet hours, limits or security; upload malicious code; access the service in ways that could harm it or other users; or resell the service without our written agreement.

9. Other providers and delivery

Messages travel through providers we don't control, including mobile carriers, Twilio, Meta (WhatsApp), email providers and postal services. They can filter, delay or block messages, and change their rules and fees. We work to deliver every message, but we can't guarantee that every message will be delivered or delivered on time.

10. Availability and support

We aim to keep WentBack available and running smoothly, but there may be planned maintenance and occasional interruptions. Support is provided by email at [email protected], with the response times described for your plan.

11. Suspension and ending the agreement

We may pause sending or suspend your account if we reasonably believe you're breaking these terms or the Messaging policy, if your messages are causing complaints, carrier blocks or legal risk, or if payment is overdue. Where we can, we'll tell you first and give you a chance to fix the problem. We may end this agreement with 30 days' notice, or immediately for serious or repeated breaches. You can end it by cancelling your plan and closing your account.

12. Our property

WentBack, including its software, design and template library, belongs to us and our licensors. While you're a client you may use the service and our templates for your business. If you send us suggestions, we may use them without any obligation to you.

13. Disclaimers

We provide the service "as is" and "as available". To the extent the law allows, we don't make promises beyond those in these terms, including any guarantee of particular business results, bookings or revenue, except as expressly stated with an offer on our pricing page.

14. Limits on liability

To the extent the law allows, neither of us is liable to the other for indirect or consequential losses, such as lost profits, revenue or data. Our total liability to you for any claims relating to the service is limited to the amount you paid us in the 12 months before the claim arose. These limits don't apply where the law doesn't allow them to.

15. Your responsibility for your messages

You agree to cover our reasonable costs, losses and liabilities (including legal fees) that arise from claims by others about the messages you send, your lack of consent to contact someone, your data, or your breach of these terms or the law.

16. Changes to these terms

We may update these terms from time to time. We'll change the date at the top and, for significant changes, tell you by email or in the dashboard at least 30 days before they take effect. If you keep using the service after that, the new terms apply.

17. Law and disputes

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. Any dispute will be handled by the courts of Ontario, unless the law where you're located gives you a right to bring it elsewhere. Before going to court, we'll both try in good faith to resolve the dispute by talking first.

18. General

These terms, together with the Messaging policy, Privacy policy and the details of your plan, are the whole agreement between us about the service. If any part is found unenforceable, the rest still applies. You may not transfer this agreement without our consent; we may transfer it as part of a merger, acquisition or sale of our business. Neither of us is responsible for delays caused by events beyond reasonable control.
